1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Stratmore Group Ltd ("Company", "we", "us", or "our"), governing your access to and use of the InvoiceChasr website and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
InvoiceChasr is a software-as-a-service platform that provides automated invoice reminder and follow-up tools. We are a technical service provider, not a debt collection agency. We provide the tools for you to manage your own accounts receivable processes.
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information up-to-date. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
4. Acceptable Use Policy
You agree not to use the Service to:
- Send spam, unsolicited commercial email, or harass any individual.
- Set up reminders for debts that are not legally due or valid.
- Violate any applicable local, state, national, or international law or regulation regarding debt collection or electronic communications.
- Upload or transmit viruses, malware, or any other malicious code.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to suspend or terminate your account immediately if we believe you are violating this Acceptable Use Policy or negatively affecting our email reputation.
5. User Obligations & Liability
You are solely responsible for the content of the communications sent through the Service and for the accuracy of the invoice data you provide. You represent and warrant that you have the legal right to contact the debtors you add to our system.
You acknowledge that InvoiceChasr is not responsible for any disputes between you and your clients regarding the validity of debts or invoices.
You agree that our authorized personnel may access your account and data (including invoice details) for the purposes of providing support, ensuring security, preventing fraud, and enforcing these Terms.
6. Fees and Payment
The Service offers both free and paid features. For paid features, you agree to pay the fees indicated at the time of purchase. All payments are processed securely by our third-party payment processor, Stripe.
Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, but we do not offer refunds for partial subscription periods.
7. Intellectual Property
The Service, including its software, code, design, and content, is the exclusive property of Stratmore Group Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT USING THE SERVICE WILL RESULT IN THE PAYMENT OF YOUR INVOICES.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STRATMORE GROUP LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
10. Indemnification
You agree to defend, indemnify, and hold harmless Stratmore Group Ltd, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
11. Data Protection & GDPR
Both parties agree to comply with all applicable requirements of the Data Protection Laws (including the UK GDPR and the Data Protection Act 2018).
For the purposes of providing the Service, you (the User) are the Data Controller and we (Stratmore Group Ltd) are the Data Processor. Our processing of client personal data on your behalf is governed by our Data Processing Agreement (DPA), which is incorporated into these Terms by reference.
By using the Service, you represent and warrant that you have a valid legal basis to share your clients' personal data with us for the purpose of automated reminders.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in England for the resolution of any disputes.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page or via email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
